Time computation determines deadline accuracy. Questions: if 10-day deadline starts Monday, does it end Thursday (excluding weekends)? Or following Friday? If deadline falls on holiday, does it extend? What time deadline expires (midnight, end of business day, 5pm)? Most contracts exclude weekends from deadline calculation: '10 business days.' Some contracts specify: 'Days include Saturdays/Sundays.' Holidays often excluded: '10 business days excluding state holidays.' Time of day: '5pm on deadline date' or 'end of business day.' Variation between contracts creates confusion. Professional contracts clearly specify computation: 'Deadline is 10 calendar days from notice, including weekends/holidays, deadline expires at 5pm.' Misunderstanding time computation can result in missed deadline. If deadline is ambiguous, interpretation can be disputed.
Pro Tip
Clarify deadline calculation explicitly. Write specific dates and times.
Example
10-day deadline starting Monday; if calendar days, deadline is Thursday; if business days only, deadline is Friday (not counting weekend).
